(“Livongo”) (Nasdaq: LVGO), the leading Applied Health Signals company empowering people with chronic conditions to live better and healthier lives, today announced the pricing of $475.0 million aggregate principal amount of 0.875% convertible senior notes due 2025 (the “notes”) in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The aggregate principal amount of the offering was increased from the previously announced offering size of $400.0 million. Livongo also granted the initial purchasers a 13-day option to purchase up to an additional $75.0 million aggregate principal amount of notes. The offering is expected to close on June 4, 2020, subject to customary closing conditions.
